Marketing Services Terms of Service

1. Service Terms & Billing

Our marketing services operate on a flexible, month-to-month basis:

• No Long-Term Contracts: Services are provided month-to-month with no minimum commitment
• Billing Date: Fees are due on the agreed invoice date each month
• Valid Payment Method Required: You authorize TechSpec LLC to charge a valid debit or credit card on file
• No surprises—unless you upgrade, you're grandfathered in at your current rate and package

2. Payment Terms & Late Fees

To keep services running smoothly:

• Payment is due on your agreed billing date
• 48-Hour Grace Period: A $40 late fee applies if payment is not received within 48 hours of the due date
• 72-Hour Service Suspension: Services will be suspended if payment is not received within 72 hours total (48 hours + additional 24 hours)
• We'll always send reminders before any late fees or suspensions occur

3. Cancellation Policy

We want you to stay because you love our work, but if you need to cancel:

• 48 Hours Notice Required: Written notice must be provided at least 48 hours before your next billing date
• Late Notice: If notice is not provided within this timeframe, you are obligated to pay for the subsequent billing period in full
• Notice must be in writing (email is fine)
• We'll provide a smooth handoff and help transition your accounts

4. Account Access & Exit Process

Important for account management:

• Do Not Remove Access: You may not revoke, restrict, or remove TechSpec LLC's access to any advertising account prior to providing notice of termination
• Wind-Down Period: We must be given reasonable time to properly remove ads, pause campaigns, and exit accounts
• Material Breach: Premature removal of access constitutes a material breach of these terms
• This protects both of us—sudden access removal can cause billing issues or campaign problems

5. Ad Performance & Platform Approval

Setting realistic expectations:

• No Guarantees: TechSpec LLC does not guarantee advertising performance, specific results, or ROI
• Platform Discretion: Advertising platforms (Facebook, Instagram, Google, etc.) retain sole discretion over ad approvals, restrictions, and account actions
• No Control Over Platforms: We cannot guarantee uninterrupted ad delivery if platforms experience issues or policy changes
• We'll always work hard to optimize your campaigns, but platform algorithms and policies are beyond our control

6. Ad Spend Responsibility

Clear separation of services and ad costs:

• Client Pays Platforms Directly: You are solely responsible for funding advertising platforms (Meta, Google, etc.)
• We Don't Handle Ad Spend: TechSpec LLC does not collect, manage, or process ad spend on your behalf
• Our monthly fee covers strategy, management, and optimization—not the actual advertising budget
• You'll receive invoices directly from Meta, Google, or other platforms for ad costs

7. Proprietary Information & Confidentiality

Protecting our work and your information:

• Our Intellectual Property: All advertising strategies, campaign structures, data analysis, methodologies, and insights developed by TechSpec LLC are proprietary and confidential
• No Unauthorized Use: You may not use, disclose, replicate, or share our proprietary methods with third parties
• Legal Protection: Unauthorized use or disclosure is subject to legal action
• Your business information and campaign data remain confidential and are never shared

8. Limitation of Liability

Our maximum liability to you:

• Limited to Fees Paid: To the fullest extent permitted by law, TechSpec LLC's total liability shall be limited to fees paid during the three (3) months preceding any claim
• No Indirect Damages: We are not liable for indirect, incidental, consequential, or special damages
• No Business Loss Claims: This includes (but is not limited to) lost profits, lost revenue, lost data, or business interruption

9. Client Indemnification

Your responsibilities:

• Hold Harmless Agreement: You agree to indemnify and hold harmless TechSpec LLC from any claims arising from:
  • Your business operations or products/services
  • Advertising content you provide or approve
  • Regulatory violations or legal issues related to your business
  • Third-party claims related to your campaigns

10. Changes to Terms

How we handle updates:

• We may update these terms as needed for legal or operational reasons
• You'll be notified of any material changes
• Continued use of services after notification constitutes acceptance

11. Governing Law

Legal jurisdiction:

• These Terms are governed by the laws of the state where TechSpec LLC is registered
• Any disputes shall be resolved in the appropriate courts of that jurisdiction

12. Entire Agreement

Complete understanding:

• These Terms constitute the entire agreement between you and TechSpec LLC
• Any prior agreements, verbal or written, are superseded by these Terms
• Modifications must be made in writing and signed by both parties
