Design Services Terms of Service

1. Deposit & Payment Terms

Before we start creating your design:

• 50% Non-Refundable Deposit Required: A deposit equal to fifty percent (50%) of the total project cost is required prior to commencement of any graphic design services
• No Work Without Deposit: No design work shall begin until the deposit is received
• Deposit is Non-Refundable: Once payment is received, the deposit cannot be refunded
• Accepted payment methods: Credit cards, debit cards, Cash-App, Venmo, Zelle, and Facebook Pay

2. Final Payment & File Release

Completing your project:

• Balance Due Upon Approval: The remaining 50% balance is due immediately upon your approval of the final design
• Approval Methods: Approval may be communicated verbally, electronically, or in writing
• 24-Hour Payment Window: All outstanding balances must be paid within twenty-four (24) hours of approval
• Files Held Until Payment: TechSpec LLC shall retain all design files, source files, and deliverables until payment is made in full
• No Early Release: No files shall be released prior to full payment under any circumstances

3. Revisions Policy

Making changes to your design:

• Unlimited Revisions (Within Scope): Unlimited revisions are included, but are limited to reasonable modifications within the scope of the originally requested and approved design concept
• Material Changes: Requests constituting a material change in direction or an entirely new design concept may result in additional fees
• New Direction = New Fees: If you want to go in a completely different direction, this is considered a new project
• Sole Discretion: Whether changes constitute a new direction is determined solely by TechSpec LLC
• We want you to love the design—revisions within the original concept are always welcome!

4. Intellectual Property & Ownership

Who owns what:

• TechSpec Retains Ownership Until Payment: All designs remain the intellectual property of TechSpec LLC until full payment is received
• Limited License Upon Payment: Upon full payment, you are granted a limited, non-transferable license to use the design for its intended purpose
• Your Use Only: The license is for your business use as originally discussed
• Once paid in full, you own the design and can use it freely for your business

5. Prohibited Uses & Resale

What you cannot do with the design:

• No Resale or Redistribution: Resale, redistribution, sublicensing, or commercial reuse for resale purposes is strictly prohibited
• Resale License Available: If you need to resell or redistribute the design (for example, on merchandise you're selling), a separate resale license must be purchased
• Examples of Prohibited Use Without License:
  • Printing the design on products you sell
  • Selling the design files to others
  • Using the design as part of a product you market
  • Allowing others to use or modify the design
• Contact us if you need a resale license—we're happy to discuss options

6. Enforcement & Legal Action

Protection of our work:

• Infringement = Legal Action: Unauthorized resale, redistribution, or misuse of TechSpec LLC designs constitutes infringement
• Consequences: Violations shall result in:
  • Immediate legal action
  • Recovery of damages
  • Recovery of all associated legal fees and costs
• Full Extent of the Law: We will pursue enforcement to the fullest extent permitted by law

7. Design Process & Timeline

What to expect:

• Initial concepts typically delivered within 2-3 business days of deposit
• Revision turnaround: 1-2 business days per round
• Timelines may vary based on project complexity and current project queue
• Rush services available for additional fee
• Your timely feedback helps keep the project on schedule

8. Client Responsibilities

What we need from you:

• Clear project brief and design requirements
• Any existing brand materials (logos, colors, fonts)
• Timely feedback on concepts and revisions
• High-resolution images or content if applicable
• Final approval before we close the project

9. File Formats & Delivery

What you'll receive upon full payment:

• Source Files (logos, branding kits, etc): Vector files (PDF, PSD, SVG, or similar) and a "starter kit" of flat files such as transparent PNGs, logo on a square white background for social media, and more
• Print Files: High-resolution PDFs or print-ready formats
• Web Files: PNG, JPG, or SVG optimized for digital use
• Specific formats can be discussed based on your needs

10. Limitation of Liability

Our maximum liability:

• TechSpec LLC's total liability is limited to the amount paid for the specific design project
• We are not liable for indirect, consequential, or special damages
• This includes lost profits, business interruption, or other commercial losses

11. Acceptance of Terms

How these terms become binding:

• Engagement = Acceptance: Engagement of TechSpec LLC for design services constitutes acceptance of the full Graphic Design Terms of Service
• Paying the deposit confirms you have read and agreed to these terms
• All projects are governed by these terms unless a separate written agreement is signed

12. Portfolio Use

Showcasing our work:

• We may display completed design work in our portfolio or marketing materials
• If you prefer your project not be showcased, please let us know in writing
• We respect your confidentiality when requested
